Terms of Service

These terms are an agreement between you (or the business you represent, the "Customer") and bluprnts ltd ("we", "us"), trading as bluprnts, and govern your use of our financial-forecasting application (the "Service"). By creating an account or using the Service you agree to these terms. If you are agreeing on behalf of a business, you confirm you have authority to do so.

1. The Service

The Service lets you model and forecast a business's finances (costs, sales, employees, financing, scenarios) and view the resulting projections, reports and analysis. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes while these terms are in force.

2. Accounts

The Service is for business use by people aged 16 or over. You are responsible for your account, for keeping your login secure, and for all activity under it. Provide accurate registration details and keep them up to date.

3. Subscriptions, fees and trials

• Some features require a paid subscription. Prices and plans are shown in the app.
• We may offer a free trial of 7 days. At the end of the trial, a paid subscription is required to keep using paid features.
• Payments are processed by Stripe. Subscriptions renew automatically each billing period until cancelled.
• Unless required by law, fees are non-refundable. You can cancel at any time (see below); cancellation stops the next renewal and you keep access until the end of the current period.
• We may change our fees on reasonable prior notice; changes take effect at your next renewal.

4. Cancellation and termination

You can cancel your subscription at any time from the billing area or by contacting us. We may suspend or terminate your access if you materially breach these terms or fail to pay. On termination your right to use the Service ends; you may request an export of your data before your account is deleted (see our Privacy Policy).

5. Acceptable use

You agree not to: break the law using the Service; attempt to access other customers' data; probe, scrape, overload or reverse-engineer the Service; resell it without our permission; or upload malware or content you have no right to use.

6. Your data

As between us, you own the business data you put into the Service. You grant us the rights needed to host and process it to provide the Service. We handle personal data as described in our Privacy Policy, and act as your processor in respect of the data you upload. Our current sub-processors are listed here.

7. Intellectual property

The Service, including its software, design and content (excluding your data), is owned by us or our licensors and is protected by law. These terms do not transfer any of those rights to you.

9. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties and do not warrant that the Service will be uninterrupted, error-free or fit for a particular purpose.

10. Limitation of liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, data or business; and our total liability arising out of or in connection with the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

11. Changes to these terms

We may update these terms from time to time. When we make material changes we will update the date above and, where appropriate, notify you in the app. Continued use after changes take effect means you accept them.

12. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory local law provides otherwise.
